Das Unternehmen wurde 1921 unter Mitwirkung der Wiener Bank und des Bankhauses Kola & Co. gegründet. Sie übernahm dabei die St. Pöltener Torpedofabrik des britischen Rüstungskonzerns Armstrong-Vickers. Ab 1924 bestand eine Interessengemeinschaft mit der Marswerke AG in Liesing. Auf Grund von Streitigkeiten über die Vertragsauslegung wurden die Whitehead Werke zum Sanierungsfall, die Fabrik St. Pölten wurde dabei an die Glanzstofffabrik verkauft.
